These terms are designed to set expectations around account use, acceptable behavior, service limitations, and core legal responsibilities when using Rosco.
You may use Rosco only if you can form a binding contract with us and are authorized to do so on behalf of yourself or the business or organization you represent. If you use Rosco on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
Rosco provides AI search ranking reports, monitoring, optimization support, outreach tooling, and related business software. We may update, improve, modify, suspend, or discontinue all or part of the service at any time, including features, integrations, or report formats.
You agree not to misuse Rosco. For example, you may not:
You retain ownership of the business information, content, and other materials you submit to Rosco. You grant us a limited, non-exclusive right to host, process, analyze, transmit, and otherwise use that data as necessary to provide, secure, support, and improve the service.
If you purchase paid services, you agree to pay applicable fees, taxes, and charges associated with your selected plan or service. Payments may be processed by third-party providers. Except where required by law or expressly stated otherwise, fees are non-refundable.
Rosco and its related software, designs, branding, content, report formats, and underlying technology are owned by Happy Herbivore Inc or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights, title, and interest in and to the service.
Rosco may rely on or integrate with third-party tools, platforms, models, payment processors, hosting providers, or other services. We are not responsible for third-party services or their availability, accuracy, content, or practices.
Rosco is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not guarantee uninterrupted service, error-free operation, or any specific business outcome, search visibility result, ranking position, lead volume, or revenue result.
To the fullest extent permitted by law, Rosco by Happy Herbivore Inc and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising out of or related to your use of Rosco. Our aggregate liability for claims arising out of or relating to the service will not exceed the amounts you paid us for the service during the 12 months before the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Rosco by Happy Herbivore Inc and its affiliates, officers, employees, agents, suppliers, and licensors from and against claims, liabilities, damages, losses, and expenses arising out of or related to your use of the service, your content or data, or your violation of these Terms or applicable law.
We may suspend or terminate your access to Rosco if you violate these Terms, create risk for the service or other users, fail to pay fees when due, or if we discontinue the service. You may stop using Rosco at any time. Sections that by their nature should survive termination will survive termination, including provisions relating to fees owed, intellectual property, disclaimers, limitations of liability, indemnification, and dispute-related terms.
These Terms are governed by the laws applicable in the jurisdiction where Rosco by Happy Herbivore Inc operates, without regard to conflict-of-laws principles. Venue for disputes will lie in the courts with appropriate jurisdiction in that location, unless applicable law requires otherwise.
We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the effective date above. By continuing to use Rosco after the updated Terms become effective, you agree to the revised Terms.
